This End User License Agreement ("Agreement") is a legal agreement between you (either an individual or a single entity) and MEZR Technologies, Inc. ("MEZR," "we," "us," or "our") for the MEZR mobile application, including all associated media, printed materials, and electronic documentation (the "Software").

By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, do not install or use the Software.

1. Grant of License

Subject to your compliance with this Agreement, MEZR grants you a limited, non-exclusive, non-transferable license to download, install, and use the Software on compatible devices that you own or control, solely for your personal or internal business use.

2. Restrictions

You may not:

Copy, modify, or create derivative works of the Software
Reverse engineer, decompile, or disassemble the Software, except to the extent permitted by applicable law
Rent, lease, lend, sell, redistribute, or sublicense the Software
Remove, alter, or obscure any proprietary notices on the Software
Use the Software for any illegal purpose or in violation of any local, state, national, or international law
Use the Software to infringe upon the intellectual property rights of others
Use the Software to transmit any viruses, worms, trojan horses, or other harmful or malicious code
Use the Software in a way that could damage, disable, overburden, or impair MEZR's services

3. Ownership

The Software is licensed, not sold. MEZR retains all right, title, and interest in and to the Software, including all intellectual property rights. This Agreement does not grant you any rights to trademarks or service marks of MEZR.

4. Data Collection and Use

By using the Software, you agree that MEZR may collect and use data gathered as part of measuring services or support services provided to you. MEZR may use this information solely to improve its products or to provide customized services or technologies to you and will not disclose this information in a form that personally identifies you. Please refer to our Privacy Policy for more information.

5. Updates and Maintenance

MEZR may provide updates to the Software from time to time. These updates may include bug fixes, new features, or improvements to performance. You agree that MEZR may automatically update the Software on your device without obtaining further consent from you. You may need to update third-party software from time to time in order to use the Software.

6. Third-Party Materials

The Software may display, include, or make available third-party content (including data, information, applications, and other products, services, and/or materials) or provide links to third-party websites or services. You acknowledge and agree that MEZR is not responsible for examining or evaluating the content, accuracy, completeness, timeliness, validity, copyright compliance, legality, decency, quality, or any other aspect of such third-party materials or websites. MEZR does not warrant or endorse and does not assume and will not have any liability or responsibility to you or any other person for any third-party materials or websites, or for any other materials, products, or services of third parties.

7. Termination

This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically without notice from MEZR if you fail to comply with any term of this Agreement. Upon termination of this Agreement, you shall cease all use of the Software and destroy all copies, full or partial, of the Software.

8. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. MEZR DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SOFTWARE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MEZR OR ITS SUPPLIERS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF MEZR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ANY CASE, MEZR'S ENTIRE LIABILITY UNDER ANY PROVISION OF THIS AGREEMENT SHALL BE LIMITED TO THE AMOUNT ACTUALLY PAID BY YOU FOR THE SOFTWARE.

10. Export Regulations

The Software and the underlying information and technology may not be exported or re-exported into any countries or to any entity or person prohibited by the U.S. or any applicable export control laws. By using the Software, you represent and warrant that you are not located in, under control of, or a national or resident of any such country or on any such list.

11. Governing Law

This Agreement will be governed by and construed in accordance with the laws of the State of California, without regard to conflict of laws principles. Any legal action or proceeding arising under this Agreement will be brought exclusively in the federal or state courts located in San Francisco County, California and the parties hereby irrevocably consent to the personal jurisdiction and venue therein.

12. Entire Agreement

This Agreement constitutes the entire agreement between you and MEZR regarding its subject matter and supersedes all prior or contemporaneous understandings regarding such subject matter. No amendment to or modification of this Agreement will be binding unless in writing and signed by MEZR.

13. Severability

If any provision of this Agreement is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.
